1. Scope and Application
These Terms and Conditions (hereinafter "Terms") govern all digital services provided by VOID (hereinafter "VOID", "we", "our"), a digital development agency based in Casablanca, Morocco.
These Terms apply to any order for services placed by a client (hereinafter the "Client"), whether for web development, mobile applications, UX/UI consulting, CMS integration (Drupal, React, Next.js), SEO/AEO, artificial intelligence, maintenance, or any other service offered by VOID.
Any order implies unreserved acceptance of these Terms, which prevail over any other Client document, except express written agreement by VOID.
2. Quote and Order
2.1. Quote: Every project begins with a detailed quote specifying the nature of services, indicative deadlines, price, and payment terms. Quotes are valid for 30 days from issuance.
2.2. Order: The order is considered firm and final after the Client signs the quote and pays the required deposit. Any validated order commits the Client to the entire service.
2.3. Modifications: Any modification requested by the Client after quote validation will be subject to a priced amendment. Initial deadlines and prices may be revised accordingly.
3. Pricing and Payment Terms
3.1. Prices: Prices are quoted in Moroccan Dirhams (MAD) excluding taxes. VAT at the rate in force in Morocco (20%) will be applied to invoices, unless exemption is justified.
3.2. Deposit: A deposit of 30% to 50% of the total amount is required upon signing the quote. The project will not start until this deposit is received.
3.3. Invoicing: Invoicing can be done in several ways:
- Fixed-price: payment in several installments based on project progress (e.g., 30% upon signing, 40% at mid-project, 30% upon delivery)
- Time and materials: monthly payment based on time spent (agreed daily rate)
- Maintenance subscription: monthly or annual payment for corrective and evolutionary maintenance services
3.4. Payment deadline: Invoices are payable upon receipt by bank transfer, within 15 days maximum. Any unpaid invoice at maturity will automatically and without prior notice result in:
- Immediate suspension of ongoing services
- Immediate enforceability of all amounts due
- Application of late payment penalties at 12% per annum
- A flat-rate compensation of 40 MAD for recovery costs
4. Delivery Deadlines
4.1. Indicative deadlines: Delivery deadlines mentioned in the quote are indicative and depend on the Client's availability to provide necessary elements (content, visuals, server access, validations).
4.2. Delays: VOID cannot be held responsible for delays caused by:
- Client's non-compliance with obligations (content provision, validations, payments)
- Force majeure (natural disaster, strike, pandemic, prolonged internet outage)
- Changes requested during the project
4.3. Delivery: Project delivery occurs after final Client validation. An acceptance report will be jointly established and signed.
5. Client Obligations
The Client agrees to:
- Provide VOID with all necessary elements for project completion (content, visuals, logos, access credentials, detailed brief)
- Respect validation deadlines (72h maximum for critical steps, unless otherwise stated)
- Appoint a single point of contact with decision-making authority
- Guarantee ownership of usage rights for all provided content (texts, images, videos)
- Make payments at scheduled deadlines
- Inform VOID of any difficulties encountered using deliverables
6. VOID Obligations
VOID commits to:
- Implement all necessary means for successful project completion
- Respect industry best practices (W3C standards, WCAG for accessibility, GDPR/Law 09-08 for data protection)
- Provide advisory and information services throughout the project
- Ensure confidentiality of information transmitted by the Client
- Deliver a functional project compliant with the validated specifications
Best efforts obligation: VOID is subject to a best efforts obligation, not an obligation of result. We commit to implementing all our skills and expertise to achieve defined objectives, without guaranteeing specific commercial results (traffic, conversions, exact SEO positioning).
7. Intellectual Property
7.1. Copyright: VOID retains all intellectual property rights to creations made (code, designs, concepts, methods) until full payment of the agreed price.
7.2. Rights transfer: After full payment, VOID transfers to the Client the exploitation rights necessary for normal use of the delivered project, for the legal protection duration and worldwide. This transfer is limited to usage, reproduction, and representation rights within the Client's business scope.
7.3. Source code: Source code is delivered to the Client after full payment. The Client is prohibited from reselling, redistributing, or making it available to third parties without written consent from VOID.
7.4. Frameworks and libraries: Open-source frameworks used (Drupal, React, Next.js, etc.) remain subject to their respective licenses. VOID does not guarantee the sustainability of third-party technologies used.
7.5. Client reference: VOID reserves the right to mention the project in its portfolio and communication materials, unless expressly requested otherwise by the Client.
8. Data Protection
8.1. Compliance: VOID commits to processing personal data in accordance with Moroccan Law No. 09-08 on the protection of individuals with regard to the processing of personal data, as well as GDPR for international clients.
8.2. Data collected: As part of its services, VOID collects and processes the following data: name, first name, company, email, phone, IP address, technical cookies. This data is used only for service execution and customer relationship management.
8.3. Client rights: In accordance with Law 09-08, the Client has the right to access, rectify, object to, and delete their personal data. To exercise these rights: casa@void.ma
8.4. Security: VOID implements appropriate technical and organizational measures to protect data against destruction, loss, alteration, unauthorized disclosure, or unauthorized access.
9. Applicable Law and Jurisdiction
9.1. Applicable law: These Terms are governed by Moroccan law.
9.2. Mediation: In case of dispute, the parties commit to seeking an amicable solution before any legal action. Mediation may be initiated with a neutral third party.
9.3. Competent jurisdiction: Failing an amicable solution, any dispute relating to the interpretation or execution of these Terms will be submitted to the exclusive jurisdiction of the Commercial Courts of Casablanca, Morocco.
